Terms of Service

• "Services" means the Nex Mile last-mile delivery platform, website, driver mobile application, dispatch and routing systems, and related logistics services.
• "User," "you," and "your" means any individual or entity that accesses or uses the Services.
• "Driver" means an independent contractor or approved delivery operator who uses the Nex Mile Driver app to perform deliveries.
• "Client" means a business, shipper, broker, or carrier that contracts Nex Mile for delivery services.
• "Order" means a delivery request, shipment, route, or assignment submitted through the Services.

You may use the Services only if you can form a binding contract with Nex Mile and are not barred from receiving services under applicable law. To access certain features, you must register an account and provide accurate, complete, and current information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach.

Drivers must meet all applicable legal, licensing, insurance, and vehicle requirements for their region and must complete Nex Mile’s onboarding and verification process before accepting deliveries.

Nex Mile provides technology-enabled last-mile delivery services in Canada, including:

• On-demand and scheduled parcel delivery
• Route planning, dispatch, and optimization
• Driver matching and workforce management
• Proof-of-delivery capture and tracking
• Operational reporting and analytics
• Customer support and exception handling

Specific service levels, coverage areas, capacities, and rates are described in separate service agreements, statements of work, or order confirmations between Nex Mile and the relevant Client.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right
• Submit false, misleading, or fraudulent information
• Interfere with or disrupt the Services, servers, or networks
• Attempt to gain unauthorized access to accounts, systems, or data
• Harass, abuse, or harm any person
• Transport prohibited, illegal, dangerous, or hazardous goods
• Resell, sublicense, or commercially exploit the Services without authorization

Nex Mile reserves the right to suspend or terminate access for conduct that violates these Terms or harms the integrity of the Services.

Drivers operate as independent contractors and not as employees, agents, or representatives of Nex Mile, unless otherwise agreed in writing. Drivers are responsible for:

• Maintaining valid driver’s licences, vehicle registrations, and insurance
• Complying with traffic laws, safety regulations, and route instructions
• Providing accurate availability, location, and status updates
• Capturing accurate proof-of-delivery records
• Protecting customer parcels and respecting private property
• Reporting incidents, accidents, and delivery exceptions promptly

Nex Mile may deactivate or restrict a Driver account for safety violations, customer complaints, fraud, policy breaches, or failure to meet eligibility requirements.

Fees for delivery services are set out in the applicable service agreement, rate card, or order confirmation. Nex Mile may charge fees based on distance, stops, parcel characteristics, urgency, service level, or other agreed factors.

Driver payouts, where applicable, are calculated according to the Driver payout agreement and are subject to verification of completed deliveries, proof-of-delivery records, and any adjustments for damages, returns, or violations.

All amounts are quoted in Canadian dollars unless otherwise stated. Nex Mile may use third-party payment processors and is not responsible for delays or fees imposed by financial institutions.

All content, software, trademarks, logos, designs, and materials made available through the Services are owned by Nex Mile or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

You retain ownership of content you upload to the Services, such as delivery photos or support messages. By uploading content, you grant Nex Mile a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, and display that content for the purpose of operating and improving the Services.

Users may receive or access confidential information about Nex Mile, Clients, or customers. You agree to keep such information confidential and to use it only as necessary to perform your obligations under these Terms.

Personal data is handled in accordance with our Privacy Policy. By using the Services, you consent to the collection and processing of data as described there.

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Nex Mile disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nex Mile does not guarantee uninterrupted, timely, secure, or error-free operation of the Services. Delivery times are estimates and may be affected by traffic, weather, operational conditions, or other factors beyond our reasonable control.

To the fullest extent permitted by law, Nex Mile’s total liability for any claims arising from or relating to the Services shall not exceed the greater of (a) the amount paid by you to Nex Mile for the Services in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

Nex Mile is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, data loss, or business interruption.

You agree to indemnify, defend, and hold harmless Nex Mile and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services
• Your breach of these Terms
• Your violation of any law or third-party right
• Your negligence, misconduct, or actions while performing deliveries
• Any content or information you submit to the Services

You may stop using the Services at any time. Nex Mile may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms, inactivity, or operational requirements.

Upon termination, all licences granted to you will cease, and you must stop using the Services. Provisions that by their nature should survive termination will survive, including ownership, confidentiality, indemnification, and limitation of liability.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally, the parties agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

Nex Mile may update these Terms from time to time to reflect changes in the Services, business practices, or legal requirements. The updated Terms will be posted with a revised "Last updated" date.

Continued use of the Services after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
